Review the database transfer route
Israel’s Privacy Protection Authority publishes regulations governing transfers to databases abroad and a legal opinion on the contractual route in Article 2(4). The practical question is not whether a buyer has offered an NDA, but which lawful transfer route fits this database and what the recipient must undertake. Ask Israeli counsel to examine the current Hebrew text and guidance. Official English translations can be useful orientation but should not be treated as a complete substitute.
Investigate onward access early
The published transfer regulations address written recipient commitments concerning privacy safeguards and onward provision. This deserves early attention where the buyer uses multiple affiliated laboratories, external annotators, or a shared training platform. Request a diagram of recipients and their purposes before negotiating broad sublicensing rights. Do not promise unrestricted worldwide distribution while those obligations remain unresolved. A contract that describes only the first buyer can omit the operationally important recipients.
Separate technical value from permission
For Hebrew or multilingual datasets, prepare original, measured evidence of coverage: scripts, transliteration conventions, OCR accuracy, domain balance, and duplicate rates. None of these quality attributes establishes a right to reuse private correspondence, workplace material, or third-party publications. Keep an auditable source register, collection terms, and a list of excluded confidential records. A synthetic sample can show formatting and annotation quality while the legal review proceeds.
- Identify the database controller and every intended recipient.
- Review the specific transfer route and recipient undertakings.
- Ask how onward transfers and subcontractor changes are controlled.
- Resolve the training purpose separately from export safeguards.
Review before release

Ask qualified local counsel to review the actual dataset, collection history, proposed training purpose, recipient, and current rules before releasing personal data.
