Prepare for a licensing negotiation

Define the scope, evidence and alternatives before discussing price.

Sources and guidance · Reviewed October 2026

Write the commercial brief

Separate non-negotiable restrictions from preferences. Decide the allowed uses, fields, term, recipients, delivery and minimum acceptance requirements. Ask each buyer to price that same scope.

Compare real alternatives

Consider the cost of doing nothing, preparing a smaller collection or licensing non-exclusively. Do not invent competing offers. Keep assumptions explicit and review the full net economics.

Document the changes

Track each revised clause, responsible reviewer and commercial effect. Confirm the final version matches the agreed proposal before signing.

Use this as a preparation framework. It is not legal advice, a valuation or a promise that a buyer will accept your data.
