Start with the actual transaction
Give your adviser the proposed contract, the seller’s legal entity and tax residence, the payer’s identity, the rights granted, the places of use and any service obligations. A payment described casually as a data sale can contain different components. Do not select a tax treatment from the marketing label.
IRS guidance discusses withholding on certain US-source payments to foreign persons, including royalties. Whether a particular data licence falls within a category, where its income is sourced, and whether treaty provisions apply depend on facts that this guide cannot determine.
Ask for a payment breakdown
Before comparing offers, ask the payer whether its quoted amount is gross or net of withholding, what documentation it expects, and which reporting forms it anticipates issuing. Confirm whether the agreement allocates separate amounts to licensing, preparation and ongoing services.
Ask how any required deduction will be documented and when you will receive the supporting statement. A bank transfer smaller than the invoice should not be your first notice of a withholding position.
Treat forms as sensitive documents
IRS requester instructions distinguish W-8 forms for different circumstances, including individuals and entities. Do not choose a form solely because another seller used it. Have a qualified adviser confirm the relevant certification and any treaty claim.
Tax forms can include identifying numbers and addresses. Use the verified payer’s secure process, not an unsolicited email link or a public datasheet. This site does not collect tax forms, calculate a withholding rate or submit anything to a payer or authority.
Compare the economics after advice
Use a separate line for estimated withholding in your own decision model and distinguish a cash deduction from the final tax cost determined by your adviser. Confirm exchange-rate, bank-fee and invoicing assumptions too.
Keep the final agreement, invoice, payment evidence, submitted form version and reporting documents together. Revisit the analysis when the contracting entity, permitted use or payment structure changes. This is a preparation checklist, not tax advice or a statement that any treaty benefit is available.
